What is “Governance?”

“Governance” is how organizations make decisions, and governance excellence enables governing bodies to contribute high value to organizations. Boards that practice governance excellence provide strategic leadership and effective oversight and they represent the concerns of and are accountable to important constituencies while satisfactorily resolving important issues.

When is governance not working as it should?

  • Decisions are based on opinions and preconceived notions rather than data and knowledge.
  • Discussions around fairness, equity, inclusiveness are rare.
  • Results are not measured or evaluated.
  • Accountability for outcomes is weak or non-existent.
  • The board is mired in operational matters.
